1. Acceptance of Terms
By accessing and using ERP24*7 ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all users of the Platform, including freelancers, clients, and visitors.
2. Description of Services
ERP24*7 is a marketplace platform that connects businesses (Clients) with ERP professionals (Freelancers). Our services include:
- Job posting and discovery for ERP-related projects
- Freelancer profile creation and portfolio showcase
- Proposal submission and contract management
- Secure payment processing through integrated payment systems
- Messaging and collaboration tools
- Review and rating system
3. User Accounts
3.1 Registration
To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3.3 Account Types
Users may register as Freelancers (offering ERP services) or Clients (seeking ERP services). Each account type has specific features and responsibilities.
4. Freelancer Terms
As a Freelancer on ERP24*7, you agree to:
- Provide accurate information about your skills, experience, and qualifications
- Deliver services as described in accepted proposals and contracts
- Communicate professionally and respond to client inquiries in a timely manner
- Comply with project deadlines and milestone requirements
- Maintain confidentiality of client information and project details
- Not engage in any activity that circumvents the Platform's payment system
5. Client Terms
As a Client on ERP24*7, you agree to:
- Provide clear and accurate job descriptions and requirements
- Make timely payments for completed work as per contract terms
- Communicate project requirements and feedback professionally
- Respect intellectual property rights of freelancers
- Not request work outside of the Platform to avoid service fees
6. Payments and Fees
6.1 Service Fees
ERP24*7 may charge service fees for use of the Platform. Current fee structures are displayed during the contract creation process and may be updated with reasonable notice.
6.2 Payment Processing
All payments are processed through our secure payment system. Clients fund milestones before work begins, and freelancers receive payment upon milestone approval. We use third-party payment processors and are not responsible for their availability or performance.
6.3 Disputes
Payment disputes should be reported through our dispute resolution system. We will review disputes and make determinations based on evidence provided by both parties.
7. Intellectual Property
Unless otherwise agreed in writing, work product created by Freelancers becomes the property of the Client upon full payment. Freelancers retain the right to showcase work in their portfolios unless prohibited by specific contract terms.
8. Prohibited Activities
Users are prohibited from:
- Providing false or misleading information
- Harassing, threatening, or abusing other users
- Circumventing Platform fees or payment systems
- Posting spam, malware, or unauthorized advertising
- Violating any applicable laws or regulations
- Creating multiple accounts for fraudulent purposes
- Scraping or harvesting user data
9. Termination
We reserve the right to suspend or terminate accounts that violate these Terms of Service. Users may also close their accounts at any time, subject to completion of any outstanding contracts and payment obligations.
10. Limitation of Liability
ERP24*7 provides the Platform "as is" and makes no warranties regarding the quality of services provided by users. We are not liable for disputes between users, loss of data, or any indirect, incidental, or consequential damages arising from use of the Platform.
11. Indemnification
You agree to indemnify and hold harmless ERP24*7 and its affiliates from any claims, damages, or expenses arising from your use of the Platform or violation of these Terms.
12. Changes to Terms
We may modify these Terms of Service at any time. Changes will be effective upon posting to the Platform. Continued use of the Platform after changes constitutes acceptance of the modified terms.
